1. Website Purpose

The Website provides general information about Prometheus, our cybersecurity and technology consulting capabilities, and the types of services we may offer.

Website content is provided for general informational and educational purposes. It is not legal advice, medical advice, insurance advice, regulatory advice, or a substitute for an assessment of your organization’s particular systems, risks, obligations, and operating environment.

Information presented on the Website should not be relied upon as a guarantee that an organization complies with any law, regulation, professional rule, contractual obligation, security framework, or insurance requirement.

2. No Client or Professional Relationship

Accessing the Website, submitting a contact form, requesting information, scheduling a consultation, or communicating with Prometheus does not create a consultant-client, managed services, fiduciary, attorney-client, business-associate, or other professional relationship.

Prometheus becomes engaged to provide services only after the parties execute an applicable written agreement, such as a Master Services Agreement, Statement of Work, service order, or other engagement document authorized by Prometheus.

If these Terms conflict with a signed client agreement concerning paid services, the signed client agreement controls with respect to those services.

3. No Guarantee of Security, Compliance, or Insurance Eligibility

Cybersecurity risk cannot be eliminated completely. No assessment, recommendation, product, configuration, monitoring service, or security control can guarantee that an organization will not experience a security incident, data loss, service interruption, regulatory inquiry, insurance dispute, or other adverse event.

References to cybersecurity readiness, risk reduction, insurability, compliance support, industry frameworks, evidence collection, or security improvements describe the intended purpose of our services. They are not guarantees of:

  • complete security;
  • legal or regulatory compliance;
  • prevention or detection of every threat;
  • approval or renewal of an insurance policy;
  • qualification for a particular insurance rate;
  • acceptance by an auditor, regulator, court, client, or insurer; or
  • any particular business, technical, or legal outcome.

Insurance carriers, regulators, auditors, courts, and other third parties make their own independent decisions. Prometheus does not control those decisions.

4. Website Assessments and Submitted Information

Any questionnaire, gap scan, readiness check, calculator, score, checklist, or similar Website feature provides preliminary informational results only. Results may be based entirely or partially on information supplied by the user and may not reflect conditions that require technical validation, document review, interviews, testing, or additional evidence.

A Website-generated score or result is not a certification, audit opinion, attestation, penetration test, legal determination, formal risk assessment, or statement of compliance.

You are responsible for ensuring that information you submit is accurate and that you have authority to provide it.

Do not submit through a general Website form:

  • passwords, authentication codes, or private cryptographic keys;
  • protected health information;
  • confidential patient records;
  • privileged legal communications or client files;
  • Social Security numbers or financial account credentials;
  • active malware, exploit code, or unlawfully obtained information; or

If sensitive information is required for an engagement, Prometheus will identify an appropriate authorized method for exchanging it.

  • use the Website to violate a law, regulation, contractual obligation, or third-party right;
  • attempt to gain unauthorized access to the Website, its hosting environment, accounts, systems, or data;

  • introduce malware, destructive code, automated attacks, or disruptive traffic;
  • scrape, harvest, or collect information using automated means except as permitted by applicable law and our published instructions;

  • interfere with Website availability or another person’s use of the Website;
  • use Website content to create a misleading security claim, certification, endorsement, or representation;

No ownership right or other license is transferred to you. Prometheus Consulting LLC, the Prometheus name, associated logos, and related branding may not be used without prior written permission.

If you voluntarily provide comments, suggestions, or general feedback about the Website or our services, you grant Prometheus permission to use that feedback without restriction or compensation.

This provision does not authorize Prometheus to disclose protected, privileged, or confidential client information governed by a separate written agreement.

The Website may contain links to or integrations with third-party websites, scheduling services, communication tools, maps, videos, social platforms, or other services.

Prometheus does not control and is not responsible for third-party content, availability, security, accessibility, or privacy practices. A link or integration does not necessarily constitute an endorsement.

9. Privacy

Our collection and use of personal information through the Website are described in our Privacy Notice.

Until the Privacy Notice is published, users should not submit sensitive personal, medical, legal, financial, or authentication information through general Website forms.

Additional privacy, security, confidentiality, and data-handling requirements applicable to client engagements will be addressed in the relevant written service agreements.

10. Website Availability and Changes

We may modify, suspend, restrict, or discontinue any part of the Website at any time. We do not guarantee that the Website will always be available, uninterrupted, secure, accurate, complete, or free from errors or harmful components.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited. Liability arising from contracted professional services is governed by the applicable signed client agreement.

13. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Prometheus and its members, managers, employees, contractors, and representatives from third-party claims, damages, liabilities, losses, and reasonable expenses arising from:

  • your unlawful or unauthorized use of the Website;
  • information or materials you submit without proper authority;
  • your violation of these Terms; or
  • your infringement or violation of another person’s rights.

Prometheus may control the defense of a covered claim, and you agree to provide reasonable cooperation.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

To the extent a dispute concerning the Website may be brought in court, the parties consent to the exclusive jurisdiction of the state and federal courts serving Palm Beach County, Florida, unless applicable law requires otherwise.

15. Changes to These Terms

We may revise these Terms periodically. Updated Terms become effective when posted on the Website unless a later effective date is stated.

Your continued use of the Website after revised Terms become effective constitutes acceptance of the revised Terms. Material changes affecting contracted client services will be handled under the applicable client agreement.

16. Severability and Waiver

If any provision of these Terms is found unenforceable, that provision will be enforced to the greatest extent permitted, and the remaining provisions will remain in effect.

A failure by Prometheus to enforce a provision is not a waiver of that provision or of our right to enforce it later.

17. Assignment

You may not assign or transfer your rights or obligations under these Terms without Prometheus’s prior written consent.

Prometheus may assign these Terms in connection with a merger, reorganization, sale of assets, financing, or transfer of the Website or business operations.

18. Entire Agreement

These Terms constitute the entire agreement between you and Prometheus regarding public use of the Website. They do not replace or modify a separately signed client agreement, confidentiality agreement, Business Associate Agreement, Statement of Work, or other written contract.
